1. Agreement to Terms

By downloading, installing, or using the Interactive Timeline Module v2 ("Module") created by Vested Marketing LLC ("we," "us," or "our"), you ("User") agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Module.

2. License Grant

Subject to your compliance with these Terms, Vested Marketing LLC grants you a non-exclusive, non-transferable, royalty-free license to use the Module on your HubSpot account(s).

3. Distribution

This Module is distributed exclusively through the HubSpot Asset Marketplace. Any redistribution, resale, or sharing of the Module outside of the HubSpot Marketplace is strictly prohibited.

4. Free Product

This Module is provided free of charge. There are no subscription fees, licensing fees, or recurring charges associated with the use of this Module.

5. No Warranty

THE MODULE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VESTED MARKETING LLC MAKES NO WARRANTY THAT THE MODULE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

6. No Support

Vested Marketing LLC does not provide technical support, customer service, or assistance for the Module. Users are solely responsible for the implementation, customization, and use of the Module on their HubSpot accounts.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VESTED MARKETING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

a) Your use or inability to use the Module;
b) Any unauthorized access to or alteration of your data;
c) Any bugs, viruses, or errors in the Module;
d) Any other matter relating to the Module.

8. Updates and Modifications

Vested Marketing LLC may release updates, bug fixes, or improvements to the Module at its sole discretion. Updates will be distributed through the HubSpot Asset Marketplace. You are not required to install updates, but we recommend doing so for optimal performance and security.

We reserve the right to modify, suspend, or discontinue the Module at any time without notice or liability.

9. No Refunds

As this Module is provided free of charge, no refunds are applicable.

10. User Responsibilities

You are solely responsible for:

• Proper implementation and customization of the Module
• Ensuring the Module is compatible with your HubSpot configuration
• Any content you create or display using the Module
• Compliance with all applicable laws and HubSpot's terms of service

11. Data Collection

Vested Marketing LLC does not collect, store, or process any user data through the Module. Any data entered into or generated by the Module remains within your HubSpot account and is subject to HubSpot's privacy policy and terms of service.

12. Intellectual Property

The Module, including all code, design elements, and documentation, is the intellectual property of Vested Marketing LLC and is protected by copyright and other intellectual property laws. You may not:

• Copy, modify, or create derivative works based on the Module
• Reverse engineer, decompile, or disassemble the Module
• Remove or alter any proprietary notices or labels on the Module
• Claim ownership of the Module or any portion thereof

13. HubSpot Marketplace Terms

Your use of the Module is also subject to HubSpot's Asset Marketplace Terms and HubSpot's general Terms of Service. In the event of any conflict between these Terms and HubSpot's terms, HubSpot's terms shall prevail.

14. Indemnification

You agree to indemnify, defend, and hold harmless Vested Marketing LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

a) Your use or misuse of the Module;
b) Your violation of these Terms;
c) Your violation of any rights of another party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Lafayette Parish, Louisiana, and you hereby consent to personal jurisdiction and venue therein.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and Vested Marketing LLC regarding the Module and supersede all prior agreements and understandings, whether written or oral.

18. Changes to Terms

Vested Marketing LLC reserves the right to modify these Terms at any time. Updated Terms will be posted with a new "Last Updated" date. Your continued use of the Module after any changes constitutes acceptance of the new Terms.

19. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Vested Marketing LLC's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
